Terms of Service and End-User License Agreement

These Terms of Service and End-User License Agreement ("Terms") are an agreement between you and Nikolay Saleyko, sole proprietor trading as NIKOSART (Osek Patur / Exempt Dealer No. 209531680), Israel ("we", "us"), about the Nuvexel AI Pro desktop software ("the Software"), our website https://nuvexelai.com and related support. By downloading, installing or using the Software, or by buying a license, you agree to these Terms. If you do not agree, do not use the Software.
Orders are processed through the Payhip e-commerce platform (payhip.com) and paid through PayPal. Payhip delivers your license key by e-mail and calculates, collects and remits sales tax and VAT (for example EU / UK VAT and US sales tax) where it is required to do so. The buyer terms of Payhip and PayPal also apply to the payment. Every plan is a one-time payment with no automatic renewal.
1. Who can use the Software
You must be at least 16 years old, or the age of digital consent where you live, and able to enter into a binding contract. If you accept these Terms for a company, you confirm you may bind that company.

- After the trial exports are used, raster exports (PNG and other image formats) carry a watermark with the words "DEMO VERSION" and "ACTIVATE PRO", and vector export (SVG, PDF, EPS) is locked. Batch export, exports larger than 2x or 2048 px, and quick clean from the system tray need a Pro key from the start.
- No automatic renewal. 30-Day and 1-Year passes are one-time payments: they are never renewed or charged again. To continue after the term, buy a new key.
- Prices are shown on the store page, in your currency where available, with any applicable tax added at checkout by Payhip.
- Fixed-date keys (issued only on request, for example for promotions) end on the date shown in the License window of the Software.
3. License
Subject to these Terms and to payment for a paid Plan, we grant you a personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software for the term of your Plan.
- Seats. One license is for one person. You may install it on up to 3 computers that you personally use. Teams need one license per user.
- Your images and results. You keep all rights to the images you open and the files you create ("Output"). You may use Output for any lawful purpose, including commercial work and products for sale. You are responsible for having the rights to the images you process.
- Updates. Paid licenses include version 1.x updates released during the term (Lifetime: all 1.x updates). We are not required to release updates or new major versions.
4. What you may not do
Except where the law or the open-source licenses in section 6 expressly allow it, you may not:
- reverse-engineer, decompile, disassemble or try to extract the source code, AI models or algorithms of the Software;
- remove, disable or bypass the license check, the trial limit or the watermark;
- sell, resell, rent, lend, share, publish or give away license keys, or obtain keys from anyone other than us or our official store;
- distribute, sublicense or rent the Software, or offer it as a hosted service to others;
- modify the Software or create derivative works of it, other than replacing open-source components as their licenses allow;
- remove copyright, trademark or license notices;
- use the Software to break the law or to infringe other people's rights.
We may revoke keys that are resold, shared publicly, obtained by fraud, refunded or charged back, without a refund.
5. Ownership
The Software is licensed, not sold. We and our licensors keep all rights in it, including copyright and the names "Nuvexel" and "Nuvexel AI". Feedback you send us may be used to improve the product without obligation to you.
6. Open-source components
The Software includes open-source components and AI models. Each is licensed under its own license; the full list and texts are in THIRD_PARTY_NOTICES.txt and the licenses folder installed with the Software. Nothing in these Terms limits your rights under those licenses. Components under the GNU LGPL v3 (PySide6, shiboken6, svglib) may be replaced with your own modified versions, and section 4(1) does not apply to the extent reverse engineering is needed to debug such modifications.
7. Privacy
Images are processed locally on your computer. The Software sends nothing over the network unless you turn on an optional Online AI provider with your own API key. See our Privacy Policy.
8. Refunds
See our Refund Policy. In short: within 14 days of purchase, if a technical problem cannot be solved by our support, or if your key has not been activated. Your statutory consumer rights are not affected.
9. Support
E-mail support at support@nuvexelai.com. We aim to reply within 2 business days. Please include your operating system, the image (if you can share it) and a description of the problem. Never send us your full license key in public channels.
10. Disclaimer of warranties
THE SOFTWARE, THE WEBSITE AND ALL AI-GENERATED RESULTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY AND NON-INFRINGEMENT. AI results can be imperfect: check Output before you rely on it, for example for print, cutting, engraving or manufacturing. The free trial lets you test the Software on your own images before you buy.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOSS OF DATA, PROFITS, REVENUE OR BUSINESS. OUR TOTAL LIABILITY FOR ALL CLAIMS IS LIMITED TO THE AMOUNT YOU PAID FOR THE LICENSE IN THE 12 MONTHS BEFORE THE CLAIM. These limits do not apply where the law does not allow them, for example for intent, gross negligence, or death or personal injury.
12. Termination
You may stop using the Software at any time. These Terms and your license end automatically if you breach them; then you must stop using and delete the Software. Sections 4, 5, 6, 10, 11 and 14 survive termination.
13. Changes
We may update these Terms. The date at the top shows the current version. Changes apply to purchases and versions released after the change; the terms shipped with your copy (EULA.txt) continue to apply to that copy.
14. Governing law
These Terms are governed by the laws of the State of Israel, without regard to its conflict-of-law rules. If you are a consumer, you also keep the protection of the mandatory laws of your country of residence, and you may bring claims in the courts there. If any provision is found invalid, the rest stays in force.
15. Export and sanctions
You will use the Software in compliance with applicable export control and sanctions laws.
16. Trademarks
Windows, Adobe Illustrator, CorelDRAW, Figma, AutoCAD, Unity, Godot, PayPal, Payhip, Telegram and other names of programs and services are trademarks of their respective owners. They are named only to describe compatible file formats, programs and services. Nuvexel AI Pro is an independent product and is not affiliated with, sponsored or endorsed by these companies.
